ByteShares is built around a straightforward ambition: digital infrastructure should be able to create value at scale without making ownership, governance and accountability opaque.

ByteShares A.M.B.A. provides the cooperative framework for a long-term ecosystem in which verified identity, auditable governance and accountable value flows are designed to work together.

Members form the democratic foundation. One member = one vote. Capital, technical instruments or investment do not in themselves provide additional voting control in ByteShares A.M.B.A.

AI City is envisioned as the ecosystem’s institutional interface: a modular framework through which identity, governance, documentation, workflows and digital services can progressively be connected for businesses, institutions and communities.

The Master Plan describes both the foundation that already exists and the infrastructure that remains to be developed, validated and implemented.

1. Member-owned governance

Verified membership is the basis for participation in the cooperative. One member = one vote. Economic participation, investment and future instruments do not provide additional votes in ByteShares A.M.B.A.

2. Three core principles

Verified identity. Auditable governance. Accountable value flows. The objective is not merely to digitise existing processes, but to make trust, accountability and documentation part of the infrastructure itself.

3. AI City

AI City is the intended institutional interface: a modular framework through which identity, governance, documentation, workflows and digital services can progressively be connected. It is not a single finished application and remains in development.

4. Cooperative ownership and commercial companies

ByteShares A.M.B.A. provides the governance foundation and long-duration stewardship. Commercial products may be developed in separate ProductCos or profit centres. Membership is co-ownership through the cooperative, not automatic direct equity in a ProductCo or AI City.

5. Founding Members

The first 10,000 verified and qualified Founding/Lifetime Members collectively participate in a defined future pool corresponding to 20% of qualifying future profits from ByteShares digital ventures. This is not automatic individual ProductCo equity or ownership of digital instruments and provides no extra A.M.B.A. votes. Distribution is not guaranteed and depends on actual distributable profit and applicable legal, tax, accounting, reserve, governance and membership conditions.

6. The 2,500-member milestone

2,500 verified Annual Members × EUR 160 = EUR 400,000 in gross membership payments before deductions in the Master Plan's international reference. The milestone may support a first controlled infrastructure MVP; the full digital infrastructure does not automatically become operational at member 2,500.

7. Technology is implemented in stages

VPLedger, eIDspot, UCityX, FILDEX, VPL, TIB, PIB, JOYY, CTZ and GROW are architectural or planned mechanisms unless current ByteShares information explicitly identifies a function as operational.

To combine transparency for members with responsible handling of detailed strategic and institutional material, the full Master Plan is not published as a freely available download.

Active ByteShares members may request access. After membership status has been verified, the material may be made available under the applicable access, confidentiality and permitted-use terms.
